SkyCity reviews whole-business sale options while pursuing two New Zealand online casino licences

SkyCity Entertainment Group has started a structured review of acquisition proposals for the entire business while also moving toward New Zealand’s regulated online casino market. For high-risk payments players, the point is simple: the company is testing both a potential ownership change and a new regulated iGaming entry at the same time.

  1. Board chair Julian Cook outlined the process at SkyCity’s annual shareholders’ meeting in Auckland on 21 October 2026. The board had already received two unsolicited, non-binding proposals earlier in the year, but decided not to proceed with either one because they were seen as insufficient on value and conditions.
  2. SkyCity said it had not received any improved offers or new whole-business proposals after that. Even so, the board acknowledged continuing acquisition interest and invited interested parties to develop proposals through a more structured process, with selected parties able to review information and carry out due diligence before deciding whether to submit an offer.
  3. The company has been explicit that this is not a promise of a deal. The review does not guarantee a transaction, a formal takeover offer, or a change in ownership, and SkyCity has not set a deadline for concluding it.
  4. SkyCity appointed UBS as investment banking adviser and Chapman Tripp as legal adviser for the group-wide review. It also set up a Structured Review sub-committee to oversee the process and assess any proposals against the company’s current plans and shareholder interests.
  5. In parallel, SkyCity has opened a separate formal sale process for its Adelaide casino business. That process began after the company announced a strategic review of the Adelaide operation in August 2026, following interest from parties considering an acquisition of the asset.

For PSPs, acquirers and bank partners, the relevant part here is sequencing: SkyCity is running a whole-group review while separately working through the Adelaide sale process, and at the same time preparing for regulated online casino operations in New Zealand. That combination tends to keep both capital structure and licence-readiness questions on the table.
